Pre-Emption RightsAs a shareholder, pre-emption rights will provide you with protection from wealth transfer and the potential erosion of control. These rights are the rights of shareholders to be offered any new issue of shares before they are offered to non-shareholders. This ensures that directors cannot issue new shares to dilute your existing percentage holdings. This also applies in the instance of a shareholder selling his or her shares. Share IssuesAs the Director of the Company, you have the ability to issue (allot) new shares. These need to be issued in accordance with the Company's Articles of Association, and issued to shareholders proportionate to their current voting and ownership rights. In assisting you with the issue of new shares, Cheesmans will ensure that the new shares are issued in accordance with statutory requirements and that the relevant institutions are are notified. We will also advise you on the different classes of shares and the differing rights associated with classes of shares, so that an issue of shares does not unnecesssarily confer undue rights to current shareholders.
Articles of AssociationThe Articles of Association of a company form the basis of a company's constitution. Under new legislation, it is the single constitutional document for a UK company. The new legislation - The Companies Act (2006) - has huge implications for the Articles of Association of a company. While you do not necessarily need to change your existing Articles, you need to ensure that your Articles are not inconsistent with the new law, as certain provisions can be overridden.
